Terms and Conditions

TERMS, POLICIES & PRIVACY

  1. SUBSCRIPTION SCOPE AND NON-TRANSFERABILITY
Each subscription is valid strictly for one single social media account. Unused monthly deliverables, credits, or posts expire at the end of each billing cycle and cannot be rolled over, reassigned, or transferred to another account or business entity.
  2. TEAM COMMUNICATION AND CENTRALIZED ACCESS
All client communications, task requests, and asset transfers must take place exclusively within designated agency group channels. Direct messaging to individual team members is prohibited to ensure continuous coverage by alternate representatives if your primary contact is out of the office or unavailable.
  3. SCHEDULED MEETINGS AND OPERATIONAL BOUNDARIES
Strategy sessions, monthly reviews, and regular check-ins must be scheduled through our official booking system during business hours. Impromptu calls or continuous unscheduled micro-communications outside of booked slots may be declined or subject to additional consulting fees.
  4. EMERGENCY AND HACK INTERVENTION FEE
Emergency intervention—including platform lockouts, compromised security credentials, account hacks, or sudden crisis management—is outside standard account management. Urgent requests requiring immediate, out-of-scope processing will be billed at an additional Emergency Service Fee of $130 per hour (billed in 1-hour minimum increments).
  5. ONBOARDING AND PAYMENT TERMS
  • Bundled Onboarding: Setup and initial strategy costs are fully included in your first monthly payment; no separate setup deposit is required.
  • 14-Day Lead Time: Campaign setup and strategy execution begin 14 days (two weeks) after receipt of the first full payment and complete submission of all required onboarding questionnaires, assets, and credentials. Delayed onboarding inputs will push back launch dates without altering the billing cycle.
  • Non-Refundable Fees: Retainers and monthly subscription fees are non-refundable.
  1. GRACE PERIOD AND ACCOUNT SUSPENSION
Payments are due on the designated billing date each month. A strict 15-day grace period applies to unpaid invoices. If an account remains past due on day 16, all social media posting, scheduling, and management activities will be immediately paused until the balance is paid in full.
  2. CREDENTIAL AND CLIENT DATA ACCURACY
Clients must maintain accurate payment information, primary contact details, and account credentials in the agency portal. Service delays or platform downtime caused by outdated payment methods or invalid login credentials will not extend billing cycles or qualify for refunds.
  3. CANCELLATION AND 30-DAY NOTICE POLICY
To cancel, downgrade, or pause a subscription, written notice must be submitted at least 30 days prior to your next billing cycle date. Notices submitted fewer than 30 days before the billing date will take effect on the subsequent month’s billing cycle, and the upcoming invoice remains due in full.
  4. CONTENT APPROVALS AND THIRD-PARTY PLATFORMS
Clients must review and approve content drafts within 5 days of receipt of our email update. Late approvals will shift posting schedules, and missed posts resulting from pending client approvals will not be refunded or rolled over. The agency is not liable for service disruptions caused by third-party platform algorithm updates, feature removals, API changes, or platform-enforced lockouts.
  5. ACCOUNT OWNERSHIP AND CREDENTIAL SECURITY
The client retains legal ownership of all social media accounts, business managers, and domain assets. The client agrees to grant the agency the necessary managerial access privileges. Passwords and credentials must be transmitted via secure password-sharing software. The agency is not liable for data breaches resulting from credentials transmitted through unsecured channels.
  6. CLIENT-PROVIDED ASSETS AND COPYRIGHT INDEMNIFICATION
The client warrants that all visual assets, logos, brand materials, audio, and copy provided to the agency are fully owned by the client or properly licensed. The client assumes full legal responsibility and agrees to indemnify the agency against any copyright infringement claims, trademark disputes, or licensing fees arising from client-provided media.
  7. PLATFORM OUTAGES AND FORCE MAJEURE
The agency is not liable for missed posts, delayed scheduling, or reporting anomalies caused by third-party platform server outages, API downtime, global technical bugs, or force majeure events outside the agency’s control.
  8. PERFORMANCE DISCLAIMER
While the agency uses industry best practices to execute strategies, specific organic reach, follower growth, engagement levels, or direct sales conversions are not guaranteed, as these are dependent on independent algorithm behaviors and market conditions.
  9. INDUSTRY AND GEOGRAPHIC EXCLUSIVITY
The agency enforces a strict exclusivity policy of managing only one client per specific business industry per city. This territorial exclusivity primarily applies to local, small service-based businesses to prevent direct local conflicts of interest. However, clients targeting a national or international audience receive priority over local geographic restrictions, and the agency reserves the right to accept non-local, national, or global clients operating within the same industry sector.

  1. DATA SHARING AND THIRD PARTIES
We respect your privacy and do not sell, rent, or trade your personal information. We share data only in the following circumstances:

  1. DATA SECURITY AND PROTECTION
We implement administrative, technical, and physical safeguards designed to protect client data and credentials. Access to client accounts is restricted only to authorized personnel who require it to perform their job duties. Passwords and access tokens are managed using secure, encrypted password-management systems.
  2. RETENTION AND DELETION OF DATA
We retain client information and project assets for as long as the account remains active. Upon termination of service and request by the client, we will revoke our access to your accounts, delete stored credentials from our active systems, and archive necessary financial transaction records to comply with tax and legal requirements.
  3. YOUR PRIVACY RIGHTS
Depending on your location, you have the right to request access to the personal data we hold about you, request corrections to inaccurate data, or request the erasure of your personal details from our systems. Requests can be submitted directly to our primary support channel.
